By accessing and using GridStackHub (the "Service"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including free and paid customers.

2. Description of Service

GridStackHub is a SaaS platform that provides GPU pricing intelligence and cost comparison tools across cloud providers. The Service includes:

Real-time GPU pricing data across 32+ cloud providers
GPU cost comparison calculator and analysis tools
Historical pricing data and trends
Price alert notifications (Pro and Pro+ plans)
Weekly savings reports (Pro and Pro+ plans)
Cost dashboards for infrastructure spend tracking (Pro and Pro+ plans)
Public API access to pricing data

3. Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your password and account credentials, and you are fully responsible for all activities that occur under your account.

3.2 Account Responsibility

You agree to notify us immediately of any unauthorized use of your account. We are not responsible for any losses or damages caused by unauthorized access to your account. You agree not to share your account credentials with any third party.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Pricing and Payment

4.1 Subscription Plans

GridStackHub offers free and paid subscription plans. Pricing and plan details are available on our Pricing page. Pricing is subject to change with 30 days' notice.

4.2 Billing

Paid plans are billed monthly or annually depending on your selection. Billing cycles renew automatically unless you cancel your subscription. Refunds are not available except as required by law.

4.3 Payment Terms

You authorize us to charge the payment method on file for all subscription fees and other charges. You are responsible for ensuring your payment information is accurate and current. Failed payments may result in service suspension.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. No refunds will be issued for partial months or unused portions of your subscription.

4.5 Taxes

You are responsible for all applicable taxes related to your use of the Service. We will collect and remit sales tax where required by law.

5. Data and Content

5.1 GPU Pricing Data

GridStackHub aggregates GPU pricing data from public sources and provider pricing pages. While we strive to maintain accuracy, pricing information:

Is provided as-is without warranty of accuracy or completeness
May lag provider price changes by hours or days
Is not real-time and should not be relied upon for critical purchasing decisions
May contain errors or omissions due to data collection limitations
Is not financial advice or a recommendation to purchase services from any provider

5.2 User Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

5.3 Your Content

You grant us a license to use any content, feedback, or information you provide (including email addresses for marketing opt-in) for the purposes of operating and improving the Service.

5.4 License to Use Service

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business use. You may not reproduce, distribute, or resell our pricing data or content without explicit permission.

6.1 Accuracy Disclaimer

GPU pricing data provided by GridStackHub is for informational purposes only and is NOT financial advice, investment recommendation, or a guarantee of pricing accuracy. Cloud provider pricing changes frequently and may vary by region, configuration, and time of purchase. Always verify current pricing directly with providers before making infrastructure decisions.

6.2 No Warranty

THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

6.3 Data Freshness

While we update pricing data regularly, there may be delays between provider price changes and our updates. Critical pricing decisions should be verified directly with cloud providers.

6.4 Third-Party Data

Our pricing data is sourced from public provider websites and pricing APIs. We are not responsible for errors, omissions, or changes made by third parties to their pricing pages.

6.5 No Professional Advice

The Service does not provide consulting, legal, tax, or professional services. You should consult with qualified professionals regarding infrastructure decisions, contracts, and financial matters.

7. Limitation of Liability

7.1 Liability Cap

IN NO EVENT SHALL GRIDSTACKHUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. FOR FREE PLAN USERS, OUR LIABILITY IS LIMITED TO $100.

7.3 Exclusions

These limitations apply to all claims, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of damages.

8. Intellectual Property

8.1 Ownership

GridStackHub, including all content, features, functionality, and intellectual property, is owned by GridStackHub or its licensors. You may not reproduce, distribute, or modify any content without explicit written permission.

8.2 Trademark

GridStackHub, the GridStackHub logo, and other trademarks are the property of GridStackHub. You may not use these marks without permission.

8.3 Public Data License

GridStackHub publishes aggregated pricing data under a Creative Commons Attribution 4.0 International (CC BY 4.0) license, allowing use and modification with attribution. See our research page for details on data access and licensing.

9. User Conduct

9.1 Prohibited Conduct

You agree not to:

Use the Service for any illegal purpose or in violation of applicable laws
Harass, abuse, or threaten other users or our staff
Attempt to gain unauthorized access to the Service or other users' accounts
Scrape, crawl, or extract data using automated methods except via our public API
Transmit viruses, malware, or any code of destructive nature
Spam, phish, or send unsolicited communications through the Service
Reverse engineer or attempt to derive the source code of the Service
Resell or redistribute access to the Service without permission
Engage in any activity that disrupts or degrades the Service

9.2 Monitoring

We reserve the right to monitor user activity and take action against accounts that violate these Terms, including suspension or termination without notice.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using your account settings.

10.2 Termination by Us

We may terminate or suspend your account at any time for cause, including violation of these Terms, non-payment, or fraudulent activity. We will provide notice where practicable, except in cases of egregious violations.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data following our data retention policies. Sections 6-8 of these Terms survive termination.

11. General Terms

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GridStackHub regarding the Service and supersede all prior agreements and understandings.

11.2 Modification of Terms

We may modify these Terms at any time. We will notify you of material changes via email or by posting notice on the Service. Continued use of the Service following notice of changes constitutes your acceptance of the modified Terms.

11.3 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflicts of law principles. You agree to submit to the exclusive jurisdiction of the Delaware courts.

11.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.5 Waiver

The failure of either party to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
